Betterment Advisor Solutions Fidelity Offer Terms and Conditions

Updated October 6, 2026

1. Promotion

Betterment Advisor Solutions is offering to waive its platform fee (as described below) through December 31, 2028 with eligible Advisory Firms who currently custody client assets with Fidelity and complete the opt-in process with Betterment’s Advisor Sales team (the “Opt-In”) by June 30, 2027. “Fidelity”  means Fidelity Brokerage Services LLC (FBS), and National Financial Services LLC (NFS), and any of their affiliates. This Promotion is available only to new advisory firms to Betterment Advisor Solutions that, as of October 6, 2026, (1) custody client assets with Fidelity, and (2) do not have any existing funded client accounts on the Betterment Advisor Solutions platform (“eligible Advisory Firms”).

Subject to the Required Disclosure provision below, for Advisory Firms that Opt-In, Betterment will waive 100% of its Betterment Advisor Solutions asset-based wrap fee (the “Platform Fee”) collected on the total of an eligible Advisor’s firm client assets from the time of the Advisory Firm’s Opt-In through December 31, 2028 (the “Waiver Period”). Betterment’s Platform Fee generally ranges from 0.12% per annum to 0.20% per annum, determined based on the aggregate balance of all of an Advisor firm’s client investing accounts at Betterment (including single participant 401(k) accounts, but excluding balances held in Betterment Cash Reserve, Betterment Checking and Betterment at Work employer sponsored 401(k) accounts). The Platform Fee waiver applies only to the Platform Fee that would otherwise be charged on eligible client assets managed and custodied at Betterment under the Betterment Advised Client Agreements.

For the avoidance of doubt, Betterment’s Platform Fee waiver is limited to Betterment’s own Platform Fee net of any revenue sharing or similar sharing arrangement (if applicable) and does not apply to any other fees and costs charged by the funds held in the client's portfolio.

2. Required Disclosure

Advisor understands that Betterment’s Platform Fee waiver offered through this promotion creates an incentive for Advisor to cause clients to transfer assets to the Betterment Advisor Solutions platform during the Waiver Period. Advisor represents to Betterment that Advisor will inform applicable clients of this conflict prior to initiating such transfers.

3. Miscellaneous

This Promotion is not valid with any other Betterment Advisor Solutions platform fee waiver or discount offers, unless Betterment expressly permits otherwise in writing. To the extent an Eligible Advisor qualifies for multiple fee waivers or promotions, any overlapping benefits will run concurrently and will not be extended. This Promotion is available only to advisory firms and their advised clients located in the United States and only with respect to accounts held on the Betterment Advisor Solutions custody platform. It does not apply to accounts on the Betterment retail platform or the Betterment at Work platform.

This Promotion is not intended to be, and should not be construed as, a recommendation or solicitation by Betterment that any advisor or client open, transfer, or maintain accounts at Betterment or implement any particular investment strategy. Advisors are responsible for determining whether to move or maintain client assets at Betterment, including by evaluating all relevant factors such as investment options, services, and fees.

This promotion is not valid with any other offers and is non-transferable. Betterment reserves the right to terminate this promotion at any time (including if Advisor terminates its relationship with Betterment), to limit promotions that Advisor or Advisor’s clients are eligible to receive, and to refuse or recover any promotional award or fee credit if Betterment determines that it was obtained under wrongful or fraudulent circumstances, that inaccurate or incomplete information was provided in opening the account, that any rules or regulations would be violated, or that any terms of the Betterment
Advisor and Advised Client Agreements have been violated.
